01Agreement to these terms
These Terms and Conditions (the “Terms”) govern your use of the SmartLocker website, including every page, form and tool on it (the “Site”). The Site is operated by SmartLocker (“SmartLocker”, “we”, “us” or “our”), 555 Burnhamthorpe Rd, Suite 600, Mississauga, Ontario M9C 2Y3, Canada.
By using the Site you agree to these Terms. If you do not agree, please do not use the Site.
02Using the Site
You may use the Site to learn about our products and services, request a quote and contact us. You agree not to:
- use the Site in a way that breaks any law or regulation;
- attempt to gain unauthorised access to the Site, its servers or any connected system;
- interfere with the Site’s operation, including by introducing malware or sending automated requests at a volume that affects its performance;
- submit false, misleading or someone else’s information through our forms;
- copy, scrape or republish the Site’s content for commercial purposes without our written permission.
03Product information
We work to keep product descriptions, photos, specifications and features accurate and current. However, products are updated over time, configurations vary by site, and some images, screens and examples on the Site are illustrations.
Information on the Site is provided for general guidance only and does not form part of any contract. Final specifications, capacities and features are confirmed in your written quotation or agreement with us.
04Quotes and orders
Submitting a quote request through the Site does not create a contract or oblige either of us to proceed. Quotes we provide are valid for the period stated in the quote and are subject to a site assessment where needed.
Any purchase, installation, software licence or service is governed by the written quotation, order or agreement you sign with SmartLocker, which takes precedence over these Terms where they differ.
05Intellectual property
The Site and its content, including text, graphics, photos, 3D models, interface designs, logos and the SmartLocker name and marks, are owned by SmartLocker or its licensors and are protected by Canadian and international intellectual property laws.
You may view and print pages for your own internal evaluation of our products. Any other use requires our prior written permission.
06Links to other websites
The Site may link to websites run by other companies. We do not control those sites and are not responsible for their content, products or privacy practices. A link does not mean we endorse the other site.
07Disclaimer
The Site is provided “as is” and “as available”. To the fullest extent permitted by law, we make no warranties, express or implied, about the Site, including that it will be uninterrupted, error-free or free of harmful components, or that its content is complete or accurate.
Product warranties, where they apply, are set out in your quotation or agreement, not on the Site.
08Limitation of liability
To the fullest extent permitted by law, SmartLocker and its directors, employees and partners are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits or business, arising from your use of, or inability to use, the Site.
Where liability cannot be excluded, our total liability arising from the Site is limited to one hundred Canadian dollars (CAD $100). Nothing in these Terms limits liability that cannot be limited under applicable law.
09Indemnity
You agree to indemnify SmartLocker against claims, losses and costs (including reasonable legal fees) arising from your misuse of the Site or your breach of these Terms.
10Privacy
How we collect and use personal information through the Site is explained in our Privacy Policy, which forms part of these Terms.
11Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. You agree that the courts of Ontario have exclusive jurisdiction over any dispute about the Site or these Terms.
12Changes to these Terms
We may update these Terms from time to time. The updated version takes effect when it is posted on this page, and the effective date at the top will change. Please check this page periodically.
